Creative Crayon / Legal
Terms of service
Good work starts with clear expectations. These terms explain how our website and client portal may be used and how they relate to the agreements for your website, design, and marketing projects.
At a glance
A quick guide. The full terms below provide the details.
Your scope, in writing
Your accepted project agreement sets the deliverables, schedule, fees, and service commitments.
Clear billing
Invoices show what is due and when. Project fees and third-party costs follow your agreement.
Realistic expectations
We commit to the agreed work. Search rankings, ad performance, and business results cannot be guaranteed.
About these terms
These terms apply to the website and client portal operated by Creative Crayon LLC ("Creative Crayon," "we," "us," or "our"). By using them, you agree to these terms. If you use them for a business, you represent that you are authorized to act for that business.
Our services are intended for business clients. You must be at least 18 and legally able to enter an agreement to engage our services or manage a client account. If you do not agree to these terms, do not use the website or portal.
Your project agreement comes first
A written proposal, statement of work, or other agreement accepted by both parties defines the services we are engaged to provide. It should identify the scope, deliverables, fees, payment schedule, responsibilities, and any ongoing services. Website descriptions are general information, not a promise that every feature is included.
If these terms conflict with that agreement, the project agreement controls for the work it covers, subject to applicable law. An inquiry, estimate request, or portal invitation alone does not engage us to start work. We confirm the engagement and any required deposit separately.
Scope, changes, and revisions
We perform the work described in the agreed scope. Additional pages, integrations, campaigns, revisions, content production, or other requests may change the price and delivery schedule. We will agree on material scope changes in writing before undertaking additional chargeable work.
Revision allowances and acceptance criteria belong in your project agreement. Please consolidate feedback through your designated contact. A change in direction after approval may require a new estimate. Ongoing hosting, maintenance, security monitoring, and content updates are included only when expressly agreed.
Your responsibilities and approvals
Provide accurate business information, timely feedback, necessary access, and materials you are authorized to use. You are responsible for reviewing and approving business claims, prices, offers, contact details, and other content before publication.
Tell us about applicable industry restrictions, accessibility requirements, required disclosures, and consent obligations during planning. You remain responsible for the lawful operation of your business and the accuracy of your instructions. We may decline content or instructions that are unlawful, misleading, or infringe another person's rights.
Delays in access, materials, decisions, or approvals can affect milestones and launch dates. We will communicate material changes to the schedule. Estimated dates depend on these inputs and on relevant third-party services.
Fees, invoices, and online payment
Fees, deposits, billing intervals, and any taxes are set out in your agreement and invoices. Pay each invoice by its stated due date using an offered method. USD is the currency for invoices issued through this portal unless a separate written arrangement expressly states otherwise.
Online invoice payments are handled on Stripe-hosted pages. Payment completion is confirmed through the payment provider's records; a browser redirect alone is not confirmation. Keep the invoice number or receipt for your records and contact us if the portal status appears incorrect.
If you believe an invoice contains an error, contact us promptly with the invoice number and the item in question. We will review it with you. Nothing here removes a non-waivable payment dispute right. Late fees, collection charges, or interest apply only if lawfully agreed; this page does not create an additional fee.
Advertising spend and outside costs
Advertising budgets are separate from management fees unless your agreement explicitly combines them. Domain registrations, hosting, software, stock media, fonts, and other third-party purchases are handled as agreed and may have their own renewal, cancellation, and license terms.
We need your approval for spending commitments outside the authorized budget. Ad platforms control their own billing, review decisions, availability, and refund rules. Funds already spent with a platform cannot be treated as unused agency fees.
A recurring service requires an agreed schedule and cancellation terms. Paying a one-time invoice does not, by itself, authorize unrelated recurring charges.
Cancellation, pauses, and refunds
Your project agreement sets cancellation notice, any minimum commitment, and how deposits, work in progress, and refunds are handled. Contact us in writing if you want to pause or end services so we can confirm the effective date, stop future work where feasible, and arrange handoff.
If the agreement does not address a cancellation issue, we will review completed work, unused prepaid services, and authorized third-party commitments with you and document the resolution. We do not apply a blanket no-refund rule through these website terms. Applicable legal rights continue to apply.
We may pause services for overdue undisputed payment, missing access, or a material breach, consistent with the agreement. Where practicable, we will give notice and an opportunity to resolve the issue. Immediate protective action may be necessary for security threats or unlawful activity.
Ownership and licenses
Unless your project agreement states otherwise, ownership of final deliverables created specifically for your project transfers to you after full payment for those deliverables. Your existing brand materials, domains, and accounts remain yours. The agreement should identify any source files, exports, or other handoff items included.
Preexisting agency tools, reusable code, methods, templates, and general know-how remain with their owners. Where these are incorporated in a paid final deliverable, we grant the rights needed to use them as part of that deliverable, subject to any separate license terms.
Third-party and open-source materials remain subject to their licenses and cannot be transferred as exclusively owned work. You grant us permission to use the materials and accounts you provide for the agreed services. Public portfolio use of your name, logo, or work requires your permission or an express agreement.
Marketing results and reporting
We do not guarantee a search position, indexing date, traffic level, advertising approval, lead volume, sales amount, or return on investment. Results depend on competition, budget, content, your business operations, platform changes, and other factors outside our control.
Reports describe the sources and reporting periods available for the work. Platform data can be delayed, estimated, revised, or affected by attribution choices and privacy settings. A published portal update is a project report, not a representation that every platform metric is updated in real time.
We do not promise exclusive placement or a relationship with a search engine or advertising platform unless specifically and accurately stated in your agreement.
Client portal and account security
Portal access is by invitation. Each user must use their own authorized account, maintain accurate contact information, and protect passwords, authentication factors, invitations, and invoice links. Notify us promptly when a user should lose access or if you suspect misuse.
Authorized users can see the invoices and published project information available to their client account. You must not attempt to access another account's information or share account access with unauthorized people. We may restrict or revoke access to protect clients, investigate abuse, or end an engagement.
The portal is a convenience for accessing records and updates. Keep your own copies of important invoices, approvals, and deliverables. Contact us if you need a record after access ends; retention obligations and your agreement determine what remains available.
Confidentiality and sensitive data
We use nonpublic client materials for the agreed work and limit access to people who need them. Both parties should protect confidential information received through the engagement, subject to lawful disclosure requirements and any more specific confidentiality agreement.
Our Privacy Policy describes how we handle personal information in operating the website and client relationship. These terms do not replace a required data processing agreement, business associate agreement, or other arrangement for regulated data.
Do not place patient information, payment credentials, passwords, or other sensitive records in contact messages or portal content. Medical marketing services do not make this portal a clinical records system. Any proposed handling of regulated information must be reviewed and separately agreed before it occurs.
Acceptable use and website content
You may use this website and portal for legitimate inquiries, your authorized account, and the services we provide. Our website text, graphics, branding, and other materials remain protected by applicable intellectual property rights. Viewing the site does not grant permission to republish or commercially exploit those materials.
Do not attempt unauthorized access, interfere with security, introduce harmful code, impersonate others, submit unlawful material, or use our systems for spam or fraud. Do not copy private client information or use automated requests in a way that disrupts the service.
External services and availability
Third-party websites, payment providers, hosting services, and advertising platforms operate under their own terms. We do not control their outages, policy changes, account decisions, or continued availability. We will address affected project work as provided in your agreement.
We may maintain, update, or temporarily interrupt this website or portal. We do not promise uninterrupted access. Project-specific support hours, response targets, backups, and maintenance commitments must be stated in the applicable service agreement.
Disclaimers and liability
Website information is provided for general business purposes and is not legal, tax, medical, or other regulated professional advice. Except for express commitments in a project agreement and rights that cannot lawfully be excluded, the website and portal are provided as available without implied warranties to the extent permitted by law.
To the extent permitted by applicable law, neither party is liable under these website terms for indirect or consequential losses resulting from website or portal use, such as lost profits or business opportunities. Liability for contracted services is addressed in the project agreement.
Nothing in these terms excludes liability that cannot legally be excluded, excuses fraud or willful misconduct, or removes rights and remedies that applicable law makes non-waivable.
Disagreements and governing law
If a concern arises, contact us at contact@ccrayon.com with enough detail for us to investigate. We encourage both parties to try to resolve it in good faith. This does not prevent either party from seeking urgent relief or exercising a right under applicable law.
Texas law governs these terms, without applying its conflict-of-law rules, except where mandatory law requires otherwise. A separate project agreement may specify dispute procedures for that engagement. These website terms do not impose mandatory arbitration or a class-action waiver.
Changes and general provisions
We may update these terms and will identify the revision date on this page. Material changes will receive additional notice where required. Changes apply prospectively and do not rewrite an existing signed project agreement without the agreement needed to amend it.
If a provision is held unenforceable, the remaining provisions continue to apply to the extent permitted by law. A failure to enforce a provision once does not waive it. Provisions that by their nature should continue after an engagement ends, including accrued payment obligations, ownership, confidentiality, and applicable liability provisions, survive.
Let's keep things clear
